1. Applicability of the Customer ToU
- These Customer general terms and conditions of use (‘the Customer ToU’) apply to and are part of the agreement between:
Kramp Groep BV , having its registered office at Breukelaarweg 33 , 7051 DW, Varsseveld, the Netherlands registered with the trade register under number 09219396, hereinafter referred to as ‘KRAMP’ and any party which has been accepted by KRAMP to make use of the services of the Kramp eShop (www.kramp.com, ‘the eShop’) as a customer(‘the Customer’) in accordance with the applicable procedure and conditions.
- Any conditions deviating from these Customer ToU are only applicable if KRAMP has explicitly agreed to them in a written agreement. KRAMP explicitly rejects the applicability of any general terms and conditions invoked, applied by, or referred to by Customer.
2. The eShop
- Kramp operates the eShop and provides e-commerce services. Via the eShop Customer may purchase products from dealers and other parties that resell and distribute Kramp products (‘SELLER’).
- KRAMP supports and enables transactions between SELLER and Customer, but shall not participate in them as a party. KRAMP only has the responsibility for the proper operation of the eShop and providing the services as agreed in accordance with these Customer ToU.
- In relation to the Customer the SELLER of any products via the eShop is responsible for dealing with complaints, delivery, quality of products, returns, providing information, data and legal documentation, etc. in relation to the products sold to Customer via the eShop. KRAMP accepts no liability for any transactions done via the eShop, including the liability for the quality and the absence of defects of products purchased via the eShop.
3. Registration as a Customer
- A Customer may apply for a registration with the eShop via KRAMP, or via any SELLER.
- A condition for opening a Customer account on the eShop is that Customer must be officially registered as having and operating a business in a public register of, such as a trade register, or a register of a chamber of commerce, or similar.
In addition to this condition, KRAMP may at any time decide that other conditions must be met. In case the application to become a Customer meets the conditions, the applicant shall be registered as Customer and a Customer account on the eShop shall be made available to the them by KRAMP.
- The Customer is at all times responsible for the use that is being made of the Customer account. The Customer is responsible for the accuracy of the data in the Customer account, such as data to complete the order, and the secure storage and use of the username and password provided by KRAMP, including in cases where the password is misused.
- Customer acknowledges and agrees that Customer can have only one account. Trying to or creating multiple accounts is prohibited and may result in suspension or termination of the Customer account.
4. Termination of a registration as Customer
- The agreement on the basis of which the Customer account exists and is being used is for an undefined period of time. It may be terminated at any time by Customer by notifying KRAMP of termination of the account.
- The registration as Customer may be terminated at any time by KRAMP at the request of a SELLER or when a Customer does not comply with any conditions that apply to the use of the eShop, including any of these Customer ToU. The registration may also be terminated in case KRAMP has reasons to suspect that the use of the eShop or the Customer account is not in compliance with the applicable conditions.
- Use of the Customer account may be blocked by KRAMP if the account is used not in compliance with any of the applicable conditions, or if such is suspected by KRAMP. In case this noncompliance continues after the expiration of a reasonable time period set by KRAMP, the Customer account shall not be deblocked and the registration as Customer terminated.
- The Customer account shall be closed and the Customer registration terminated with immediate effect without further notice in case Customer:
• is declared bankrupt, or a petition for his bankruptcy is filed, or enters into liquidation or any arrangement with creditors or has a receiver or administrative receiver appointed for such termination;
- no longer has a registration of his business with the trade register, Chamber of commerce or similar registration authority or register.
5. Buying products via the eShop
- SELLER may apply its own terms and conditions of sale on any transactions with Customer via the eShop (including for example conditions on: return of products, quality of products, defective products, late delivery, complaints procedure, disputes etc.). If this is the case, a reference to these terms and conditions of sale, as well as the downloadable text of them shall be shown on the eShop. These conditions shall apply apart from the conditions of the eShop.
6. Invoicing and payment
- Unless expressly agreed otherwise with SELLER, products ordered via the eShop will only be delivered to Customer against advance payment.
- KRAMP will provide the Customer with an acknowledgement of payment when the Customer has paid their order online through the payment solutions of the ‘payment service provider’ provided on the eShop.
- The SELLER may grant the Customer the option to have a line of credit. In that case the option ‘Pay on Invoice’ will made available to the Customer in the eShop. The SELLER is responsible for enabling and disabling this option for the Customer.
- The Customer will receive an invoice from the SELLER for all products ordered from that SELLER on the eShop. Any questions of the Customer related to the invoice shall exclusively be answered by the SELLER.
- Customer shall pay any amount for a purchase exclusively to SELLER.
7. Limitation of liability KRAMP
- KRAMP accepts no liability for the continuous availability or uninterrupted functioning of the Customer account or the eShop, nor for any of its functionalities.
- KRAMP accepts under no circumstances any liability to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with the purchase of a product via the eShop. Only the contractual agreements with the seller and, where applicable, statutory provisions shall apply in this regard.
- If Section 7.2 would be judged ineffective, inapplicable or otherwise could not be applied or enforced, the liability of KRAMP shall be limited to €500.
8. Complaints
- If Customer encounters any issues, errors, or complaints related to the use of the eShop, these must be reported to KRAMP in writing within a reasonable time after the issue arises. Complaints do not lead to suspension of any obligations of Customer in these Customer ToU or any sales agreement with a SELLER, unless explicitly agreed otherwise in writing.
- Complaints include a clear description of the issue, relevant details, and any supporting evidence, if applicable. KRAMP shall make reasonable efforts to resolve complaints adequately and promptly. If a complaint relates to matters beyond KRAMP’s control, Customer will be informed accordingly.
- Complaints concerning the conclusion or performance of purchase contracts concluded via the eShop with SELLERS shall exclusively be directed to the respective SELLER.
9. General
- If one or more of the provisions of the Customer ToU are invalid, illegal or unenforceable or conflict with any applicable legal provision, the provision in question will lapse and be replaced by KRAMP with a new legally permissible provision, taking into account the scope of the provision in question as much as possible.
- These Customer ToU can at any time be changed by KRAMP. If they are changed the Customer shall be informed about this at least 1 (one) month before the new Customer ToU shall apply.
- All intellectual property rights in the eShop or any trade names, logos of KRAMP and of the eShop are retained by KRAMP. No intellectual property rights shall be (deemed) transferred, nor shall any license rights or rights of use be granted on such trade names or logo’s, unless explicitly agreed and laid down in a written agreement which is executed by authorised representatives of the parties.
10. Applicable law and competent court in case of disputes
- Any agreement between Customer and KRAMP and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands.
- Each party irrevocably agrees that the competent court in the Netherlands shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with any Agreement or its subject matter , including its subject related non-contractual disputes or claims.
